Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Canopy local-visibility platform at canopylocal.com and its related applications (the “Service”), operated by King Marketing Partners (“Canopy,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

The Service

Canopy scans local search rankings across geographic grids, compares locations across a portfolio, and generates plain-English insights and reports for multi-location brands and the agencies that serve them. Features, including integrations with third-party services such as Google Business Profile, may be added, changed, or removed over time.

Accounts & Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information, for safeguarding your credentials, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

Subscriptions, Billing & Payment

• Paid plans are billed in advance on a recurring basis through our payment processor, Stripe. By subscribing you authorize recurring charges until you cancel.
• You may cancel at any time; cancellation takes effect at the end of the current billing period. Except where required by law, payments are non-refundable.
• The Service is under active, continuous development. Features ship frequently and may change; we may adjust pricing on a prospective basis with reasonable notice.

Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms.
• Resell, sublicense, or provide the Service to third parties except as expressly permitted by your plan.
• Reverse engineer, scrape, overload, or attempt to gain unauthorized access to the Service or its underlying systems.
• Use the Service in a way that violates the terms of any connected third-party service (including Google’s terms and policies) or infringes the rights of others.

Your Data & Content

You retain ownership of the data and content you provide to the Service. You grant us a limited license to host, process, and display that data solely to operate and improve the Service and to provide the features you request. Our handling of personal information is described in our Privacy Policy.

Third-Party Services

The Service integrates with third-party services you choose to connect, such as Google Business Profile, payment processing, and CRM/webhook destinations. Your use of those services is governed by their own terms and policies, and you are responsible for maintaining your own accounts and complying with those terms. We are not responsible for third-party services or their availability.

Intellectual Property

The Service, including its software, design, and content (excluding your data), is owned by King Marketing Partners and protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service while your account is in good standing.

Beta Features & Availability

Some features may be offered on a beta or early-access basis and may change or be discontinued. We do not guarantee that the Service will be uninterrupted, error-free, or available at any particular time, and rankings and insights are estimates, not guarantees of any specific marketing outcome.

Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KING MARKETING PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Indemnification

You agree to indemnify and hold harmless King Marketing Partners from any claims, damages, and expenses (including reasonable legal fees) arising out of your use of the Service, your data, or your violation of these Terms or applicable law.

Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms or use the Service in a way that creates risk or legal exposure. Upon termination, your right to use the Service ceases; sections intended to survive (including ownership, disclaimers, and limitation of liability) will survive.

Governing Law

These Terms are governed by the laws of the State of Indiana, without regard to its conflict-of-laws rules. You agree that the exclusive venue for any dispute arising out of or relating to these Terms or the Service will be the state and federal courts located in Indiana, and you consent to their personal jurisdiction.

Changes to These Terms

We may update these Terms from time to time. When we make material changes we will update the “Effective” date above and, where appropriate, provide additional notice. Your continued use of the Service after an update constitutes acceptance of the revised Terms.
